第九十四条（設立時取締役等が発起人である場合の特則）
Article 94Special Provisions in Case Directors at Incorporation Are Incorporators
設立時取締役（設立しようとする株式会社が監査役設置会社である場合にあっては、設立時取締役及び設立時監査役）の全部又は一部が発起人である場合には、創立総会においては、その決議によって、前条第一項各号に掲げる事項を調査する者を選任することができる。
If some or all of the directors at incorporation (or the directors at incorporation and company auditors at incorporation if the stock company to be incorporated is a company with company auditor) are incorporators, a person to investigate the matters set forth in each item of paragraph (1) of the preceding Article may be elected by a resolution at the organizational meeting.
A person who is elected pursuant to the provisions of the preceding paragraph must conduct the necessary investigation and report the outcome of relevant investigation to an organizational meeting.
