社債権者は、代理人によってその議決権を行使することができる。この場合においては、当該社債権者又は代理人は、代理権を証明する書面を招集者に提出しなければならない。
Bondholders may exercise voting rights by proxy. In these cases, relevant bondholders or proxies must submit to the convener a document certifying the power of representation.
前項の代理権の授与は、社債権者集会ごとにしなければならない。
The grant of the power of representation under the preceding paragraph must be made for each bondholders meeting.
第一項の社債権者又は代理人は、代理権を証明する書面の提出に代えて、政令で定めるところにより、招集者の承諾を得て、当該書面に記載すべき事項を電磁的方法により提供することができる。この場合において、当該社債権者又は代理人は、当該書面を提出したものとみなす。
Bondholders or proxies referred to in paragraph (1) may, in lieu of submitting a document certifying the power of representation, use electronic or magnetic means to provide the information that is required to be detailed in relevant document, with the approval of the convener and pursuant to the provisions of Cabinet Order. In these cases, relevant bondholders or proxies are deemed to have submitted relevant document.
If the bondholders are persons who gave consent under Article 720, paragraph (2), the convener may not refuse to grant approval under the preceding paragraph without reasonable grounds.
