新株予約権を行使した新株予約権者は、当該新株予約権を行使した日に、当該新株予約権の目的である株式の株主となる。
Share option holders who have exercised share options become shareholders of the shares underlying relevant share options on the day when relevant share options are exercised.
新株予約権を行使した新株予約権者であって第二百八十六条の二第一項各号に掲げる者に該当するものは、当該各号に定める支払若しくは給付又は第二百八十六条の三第一項の規定による支払がされた後でなければ、第二百八十六条の二第一項各号の払込み又は給付が仮装された新株予約権の目的である株式について、株主の権利を行使することができない。
A share option holder that exercises a share option and is as set forth in items of Article 286-2, paragraph (1) may not exercise the right of shareholders with respect to shares that are subject matters of share options for which payment or delivery set forth in each items of Article 286-2, paragraph (1) is falsified, unless the payment specified in each of those items or the payment pursuant to the provisions of Article 286-3, paragraph (1) is made.
前項の株式を譲り受けた者は、当該株式についての株主の権利を行使することができる。ただし、その者に悪意又は重大な過失があるときは、この限りでない。
The person who accepts the transfer of shares referred to in the preceding paragraph may exercise the right of shareholders with respect to the shares;provided, however, that this does not apply if the person has acted in bad faith or with gross negligence.
