株式会社が譲渡等承認請求の日から二週間（これを下回る期間を定款で定めた場合にあっては、その期間）以内に前条第二項の規定による通知をしなかった場合には、第二百六十二条又は第二百六十三条第一項の承認をしたものとみなす。ただし、当該株式会社と当該譲渡等承認請求をした者との合意により別段の定めをしたときは、この限りでない。
If a stock company has failed to give notice pursuant to the provisions of paragraph (2) of the preceding Article within two weeks (or if any shorter period of time is provided for in the articles of incorporation, relevant shorter period of time) from the day of the requests for approval of transfer, the stock company is deemed to have given the approval under Article 262 or Article 263, paragraph (1);provided, however, that this does not apply if otherwise provided for by agreement between the stock company and the person who made the requests for approval of transfer.
