Employees with a title which holds them out as the chief of the business of the head office or any branch office of a company are deemed to have the authority to do any and all non-judicial acts in connection with the business of relevant head office or branch office;provided, however, that this does not apply to the cases where the counterparty acts with knowledge of the counterparty's actual authority.
