株券の占有者は、当該株券に係る株式についての権利を適法に有するものと推定する。
A possessor of share certificates is presumed to be the lawful owner of the rights in relation to the shares representing relevant share certificates.
株券の交付を受けた者は、当該株券に係る株式についての権利を取得する。ただし、その者に悪意又は重大な過失があるときは、この限りでない。
A person who receives delivery of the share certificates acquires the rights in relation to the shares represented by relevant share certificates;provided, however, that this does not apply if that person has acted in bad faith or with gross negligence as to the fact of defective title of the transferor.
