株主は、その有する株式につき次に掲げる権利その他この法律の規定により認められた権利を有する。
A shareholder has the following rights and other rights recognized pursuant to the provisions of this Act with respect to the shares the shareholder holds:
剰余金の配当を受ける権利
the right to receive dividends of surplus;
残余財産の分配を受ける権利
the right to receive distribution of residual assets;
株主総会における議決権
the right to cast a vote at shareholders meeting.
Provisions of articles of incorporation that do not give the entirety of the rights set forth in item (i) and item (ii) of the preceding paragraph to shareholders are not effective.
