Article 638Change in Kind of Membership Companies by Change in Articles of Incorporation
A general partnership company, by effecting the change in the articles of incorporation set forth in each of the following items, becomes a membership company of the kind specified in each item:
合名会社は、次の各号に掲げる定款の変更をすることにより、当該各号に定める種類の持分会社となる。

合名会社、合資会社又は合同会社（以下「持分会社」と総称する。）を設立するには、その社員になろうとする者が定款を作成し、その全員がこれに署名し、又は記名押印しなければならない。
