第七百七十四条の九（株式交付子会社の株式の譲渡しに関する規定の準用）
Article 774-9Application Mutatis Mutandis of the Provisions on Transfer of Shares of Subsidiary Company Resulting from a Partial Share Exchange
第七百七十四条の四から前条までの規定は、第七百七十四条の三第一項第七号に規定する場合における株式交付子会社の新株予約権等の譲渡しについて準用する。この場合において、第七百七十四条の四第二項第二号中「数（株式交付子会社が種類株式発行会社である場合にあっては、株式の種類及び種類ごとの数）」とあるのは「内容及び数」と、第七百七十四条の五第一項中「数（株式交付子会社が種類株式発行会社である場合にあっては、株式の種類ごとの数。以下この条において同じ。）」とあるのは「数」と、「申込者に割り当てる当該株式の数の合計が第七百七十四条の三第一項第二号の下限の数を下回らない範囲内で、当該株式」とあるのは「当該新株予約権等」と、前条第二項中「第七百七十四条の十一第二項」とあるのは「第七百七十四条の十一第四項第一号」と読み替えるものとする。
In the case provided in Article 774-3, paragraph (1), item (vii), the provisions of Article 774-4 through the preceding Article apply mutatis mutandis to the transfer of the share options, etc. of the subsidiary company resulting from a partial share exchange. In those cases, the phrase "number of shares of the subsidiary company resulting from a partial share exchange to be delivered (in the case of a company with class shares, the classes of the shares and the number of shares for each class)" in Article 774-4, paragraph (2), item (ii) is deemed to be replaced with "features and number of the subsidiary company resulting from a partial share exchange to be delivered," the phrase "number of shares of the subsidiary company resulting from a partial share exchange that it will acquire from those offerors (if the subsidiary company resulting from a partial share exchange is a company with class shares, the classes of shares and the number of each class; the same applies hereinafter in this Article)" in Article 774-5, paragraph (1) is deemed to be replaced with "number of shares of the subsidiary company resulting from a partial share exchange that it will acquire from those offerors," the phrase "the shares less than the number provided in paragraph (2), item (ii) of the preceding Article to the extent that the aggregate number of the shares allocated among the offerors is not less than the minimum number provided in Article 774-3, paragraph (1), item (ii)" in the same paragraph is deemed to be replaced with "the share options, etc., less than the number provided in paragraph (2), item (ii) of the preceding Article" and the phrase "Article 774-11, paragraph (2)" in paragraph (2) of the preceding Article is deemed to be replaced with "Article 774-11, paragraph (4), item (i)."
