第百二条の二（払込みを仮装した設立時募集株式の引受人の責任）
Article 102-2Responsibilities of Subscribers for the Shares Solicited at Incorporation for Which Payment Is Falsified
In the case prescribed in paragraph (3) of the preceding Article, a subscriber for the shares solicited at incorporation is liable to pay the entire amount of payment for which the payment was falsified, to the stock company.
The obligation assumed by a subscriber for the shares solicited at incorporation pursuant to the provisions of the preceding paragraph may not be exempted without the consent of all shareholders.
払込みを仮装した設立時募集株式の引受人の責任
設立時募集株式の引受人は、前条第三項に規定する場合には、株式会社に対し、払込みを仮装した払込金額の全額の支払をする義務を負う。
設立手続等の特則
設立時募集株式の引受人は、第六十三条第一項の規定による払込みを仮装した場合には、次条第一項又は第百三条第二項の規定による支払がされた後でなければ、払込みを仮装した設立時発行株式について、設立時株主及び株主の権利を行使することができない。

会社を作る際に発起人が株式を引き受ける人を募集した場合に、その募集に応じて申し込んだ人に割り当てる、設立の際に発行する株式のことです。
