第三百六十五条（競業及び取締役会設置会社との取引等の制限）
For the purpose of the application of the provisions of Article 356 to a company with board of directors, the term "shareholders meeting" in paragraph (1) of that Article is deemed to be replaced with "board of directors".
At a company with board of directors, a director who has engaged in transactions under each item of Article 356, paragraph (1) must report the material facts with respect to relevant transaction to the board of directors without delay after that transaction.
取締役会設置会社においては、第三百五十六条第一項各号の取引をした取締役は、当該取引後、遅滞なく、当該取引についての重要な事実を取締役会に報告しなければならない。
