A stock company must state the following matters and the serial number on a share certificate, and the representative director of the share certificate-issuing company (or the representative executive officer for a company with nominating committee, etc.) must affix the representative director's signature, or name and seal:
株券には、次に掲げる事項及びその番号を記載し、株券発行会社の代表取締役（指名委員会等設置会社にあっては、代表執行役）がこれに署名し、又は記名押印しなければならない。
the trade name of the share certificate-issuing company;
株券発行会社の商号
the number of shares represented by relevant share certificates;
当該株券に係る株式の数
if it is provided that the approval of the stock company is required for the acquisition of shares which are represented by relevant share certificates by transfer, a statement to that effect; and
譲渡による当該株券に係る株式の取得について株式会社の承認を要することを定めたときは、その旨
for a company with class shares, the class and features of the shares represented by relevant share certificates.
