①A stock company must notify its shareholders (or, for a company with class shares, the class shareholders of the classes of the shares it intends to acquire) of the matters set forth in each item of paragraph (1) of the preceding Article.

②A public company may substitute a public notice for the notice under the provisions of the preceding paragraph.
