This Act comes into effect as of July 1, 1966; provided, however, that the provisions amending Article 188, paragraph (2), item (v), Article 205, Articles 213 through 221, Article 223, paragraph (1), Article 229, Article 284-2, and Article 498, paragraph (1), item (xvi) of the Commercial Code, the provisions adding one Article after Article 226 of that Code, and the provisions of paragraphs (3) and (4) of the Supplementary Provisions come into effect as of April 1, 1967, and the provisions amending Article 341-6 of that Code, the provisions making that Article Article 341-7 of that Code and adding one Article after Article 341-5 of that Code, and the provisions of the following paragraph and paragraph (7) of the Supplementary Provisions come into effect as of the date of promulgation.
The provisions of the Commercial Code as amended by this Act (hereinafter referred to as the "New Act") apply also to matters that arose before the effective date of the relevant amending provisions, except where there are special provisions; provided, however, that this does not impair the effect that arose under the provisions of the previous Commercial Code (hereinafter referred to as the "Former Act").
With regard to the transfer of shares or the acquisition of share certificates before April 1, 1967, the provisions of Articles 205 and 229 of the Former Act continue to apply on and after that date; provided, however, that this does not preclude applying the provisions of Article 205, paragraph (2) of the New Act to the possession of share certificates on or after that date.
Even where a person who acquires, on or after April 1, 1967, share certificates issued before that date has not investigated the continuity of endorsements or the regularity of the documents certifying the transfer of shares, the failure to investigate cannot be deemed to constitute bad faith or gross negligence for the purpose of applying Article 229 of the New Act.
The provisions of Article 239, paragraph (6) and Article 239-2 of the New Act (including as applied mutatis mutandis pursuant to Article 180, paragraph (3) and Article 413, paragraph (3) of the New Act) do not apply to the exercise of voting rights at a shareholders meeting or organizational meeting whose meeting date falls within two weeks counted from the day this Act comes into effect.
If a resolution on an issue of new shares was made before this Act comes into effect, the provisions then in force continue to govern that issue of new shares even after this Act comes into effect. The same applies to the issue of shares provided for in a resolution under Article 280-2, paragraph (2) of the Former Act made before this Act comes into effect.
The provisions of Article 341-6, paragraph (2) of the New Act do not apply if the fixed date referred to in that paragraph is before the date of promulgation of this Act.
