第十二条（抱合せ増資に関する経過措置）
With regard to an issue of new shares for which a resolution was made, prior to the enforcement of this Act, on the matters set forth in Article 280-2, paragraph (1), item (ix) of the Former Commercial Code, the provisions then in force continue to govern.
この法律の施行前に旧商法第二百八十条ノ二第一項第九号に掲げる事項について決議のあった新株の発行に関しては、なお従前の例による。
