Article 688Duties and Authority of Liquidators and Method of Division of Residual Assets
第六百八十八条（清算人の職務及び権限並びに残余財産の分割方法）
The duties of a liquidator are to:
清算人の職務は、次のとおりとする。
conclude current business;
現務の結了
collect debts and perform obligations; and
債権の取立て及び債務の弁済
deliver residual assets.
残余財産の引渡し
The liquidator may perform any and all acts in order to perform the duties stated in the items of the preceding paragraph.
清算人は、前項各号に掲げる職務を行うために必要な一切の行為をすることができる。
Residual assets are distributed in proportion to the value of the contributions of each partner.
残余財産は、各組合員の出資の価額に応じて分割する。
