Article 45-5Trust Agreement for Repayment in Place of Security Deposits for Providing Funds Transfer Services
第四十五条の五（履行保証金弁済信託契約）
When a funds transfer service provider has concluded a trust agreement for repayment in place of security deposits for providing funds transfer services (meaning a trust agreement whose purpose is to apply the trust property, when a petition for commencement of bankruptcy proceedings, etc. is filed against the funds transfer service provider, to the repayment of all or part of the obligations that the funds transfer service provider bears to all or part of the users of that category of funds transfer services with regard to funds transfer transactions pertaining to those funds transfer services, and which states that the trust company, etc. carries out necessary acts including the management of the trust property for achieving that purpose; the same applies in this Chapter) with a trust company, etc. for each category of funds transfer services that it provides and has notified the Prime Minister to that effect, it may choose not to make all or part of the security deposits for providing funds transfer services for the relevant category of funds transfer services with regard to the amount of obligations that the trust property is to be applied to repay under that trust agreement for repayment in place of security deposits for providing funds transfer services (hereinafter referred to as the "amount of the trust for repayment in place of security deposits" in this Chapter; or, if that amount of the trust for repayment in place of security deposits exceeds the amount of the trust property, the amount of that trust property), limited to the period during which the trust property is held in trust under that trust agreement for repayment in place of security deposits for providing funds transfer services.
資金移動業者は、信託会社等との間で、その営む資金移動業の種別ごとに履行保証金弁済信託契約（当該信託会社等が、当該資金移動業者について破産手続開始の申立て等があったときに信託財産を当該資金移動業者が当該種別の資金移動業の利用者の全部又は一部に対して負担する当該資金移動業に係る為替取引に関する債務の全部又は一部の弁済に充てることを信託の目的として、当該信託財産の管理その他の当該目的の達成のために必要な行為をすべき旨の信託契約をいう。以下この章において同じ。）を締結し、その旨を内閣総理大臣に届け出たときは、当該履行保証金弁済信託契約に基づき信託財産が信託されている間、履行保証金弁済信託契約に基づき当該信託財産をもって弁済に充てることとされている債務の額（以下この章において「履行保証金弁済信託額」といい、当該履行保証金弁済信託額が当該信託財産の額を上回るときは、当該信託財産の額）につき、当該種別の資金移動業に係る履行保証金の全部又は一部の供託をしないことができる。
A trust agreement for repayment in place of security deposits for providing funds transfer services must include the following particulars:
履行保証金弁済信託契約は、次に掲げる事項をその内容とするものでなければならない。
the beneficiaries are to be the users of funds transfer transactions carried out by the funds transfer service provider that is the party to the trust agreement for repayment in place of security deposits for providing funds transfer services (limited to funds transfer transactions for the category of funds transfer services pertaining to the trust agreement for repayment in place of security deposits for providing funds transfer services);
履行保証金弁済信託契約を締結する資金移動業者が行う為替取引（当該履行保証金弁済信託契約に係る種別の資金移動業に係るものに限る。）の利用者を受益者とすること。
an agent of the beneficiaries is appointed;
受益者代理人を置いていること。
in response to an order by the Prime Minister, a trust company, etc. realizes the trust property and deposits all or part of the amount of the trust for repayment in place of security deposits (or, if that amount of the trust for repayment in place of security deposits exceeds the amount realized from the trust property held in trust under the trust agreement for repayment in place of security deposits for providing funds transfer services, the amount realized from that trust property), in lieu of repayment to the beneficiaries under the trust agreement for repayment in place of security deposits for providing funds transfer services; and
内閣総理大臣の命令があった場合には、履行保証金弁済信託契約に基づく受益者に対する弁済に代えて、信託会社等が信託財産を換価し、履行保証金弁済信託額（当該履行保証金弁済信託額が履行保証金弁済信託契約に基づき信託されている信託財産を換価した額を上回るときは、当該信託財産を換価した額）の全部又は一部を供託すること。

その他内閣府令で定める事項
The provisions of Article 45, paragraph (3) apply mutatis mutandis to the trust property held in trust under a trust agreement for repayment in place of security deposits for providing funds transfer services.
履行保証金弁済信託契約に基づき信託される信託財産については、第四十五条第三項の規定を準用する。
