The board of directors is composed of all directors.
理事会は、全ての理事で組織する。
The board of directors performs the following duties:
理事会は、次に掲げる職務を行う。
deciding the execution of business of the medical corporation;
医療法人の業務執行の決定
supervising the execution of the duties by the directors; and
理事の職務の執行の監督
electing and dismissing the president.
理事長の選出及び解職
The board of directors may not delegate the following particulars and other important decisions on the execution of business to the directors:
理事会は、次に掲げる事項その他の重要な業務執行の決定を理事に委任することができない。
disposal and acceptance of important assets;
重要な資産の処分及び譲受け
borrowing a large amount of money;
多額の借財
selection and dismissal of employees with important roles;
重要な役割を担う職員の選任及び解任
establishment, change and abolition of secondary offices and other important organizations;
従たる事務所その他の重要な組織の設置、変更及び廃止
in the case of a medical corporation as an association, exemption from liability under Article 47, paragraph (1) based on the provisions of the articles of incorporation pursuant to the provisions of Article 114, paragraph (1) of the Act on General Incorporated Associations and General Incorporated Foundations as applied mutatis mutandis pursuant to Article 47-2, paragraph (1); or
社団たる医療法人にあつては、第四十七条の二第一項において準用する一般社団法人及び一般財団法人に関する法律第百十四条第一項の規定による定款の定めに基づく第四十七条第一項の責任の免除
in the case of a medical corporation as a foundation, exemption from liability under Article 47, paragraph (1) as applied mutatis mutandis pursuant to Article 47, paragraph (4) based on the provisions of the act of endowment pursuant to the provisions of Article 114, paragraph (1) of the Act on General Incorporated Associations and General Incorporated Foundations as applied mutatis mutandis pursuant to Article 47-2, paragraph (1).
財団たる医療法人にあつては、第四十七条の二第一項において準用する一般社団法人及び一般財団法人に関する法律第百十四条第一項の規定による寄附行為の定めに基づく第四十七条第四項において準用する同条第一項の責任の免除
