A general meeting of members may adopt resolutions on particulars provided for in this Act and particulars provided for in the articles of incorporation.
社員総会は、この法律に規定する事項及び定款で定めた事項について決議をすることができる。
Provisions in the articles of incorporation to the effect that the directors, the board of directors, or other organizations other than the general meeting of members may decide on particulars requiring a resolution of the general meeting of members under the provisions of this Act has no effect.
この法律の規定により社員総会の決議を必要とする事項について、理事、理事会その他の社員総会以外の機関が決定することができることを内容とする定款の定めは、その効力を有しない。
