定時総会決議等（ていじそうかいけつぎとう）

In Article 8, paragraph (1) and Article 9 of the supplementary provisions (附則) of Act No. 107 of 1998, a resolution of an annual general meeting under the provisions that paragraph cites, or a board of directors' resolution under Article 3, paragraph (1) of a 1997 law on special rules for procedures to cancel shares (Act No. 55 of 1997), on which a company bases a purchase of its own shares.

要件（ようけん）

In the supplementary provisions (附則) of Act No. 23 of 1998, the requirements listed in the items of Article 29-2, paragraph (1) of this Act as amended by that Act, which a contract between a stock company and its directors, etc. (取締役等) entered into before that Act came into effect had left out in whole or in part.

経過配当（けいかはいとう）

In Article 26(1) and (3) of the supplementary provisions (附則) of Act No. 10 of 2006, a dividend of surplus (剰余金の配当) by a resolution under Article 454(1) or (5) of the Companies Act, or by a resolution of the board of directors where the articles of incorporation so provide under Article 459(1) of that Act, whose record date (基準日) for payment falls before the day the Companies Act came into effect.

旧届出（きゅうとどけで）

In Article 3, paragraph (1) of the supplementary provisions (附則) of Act No. 65 of 2008, a notification under Article 28, paragraph (1) of the supplementary provisions of Act No. 65 of 2006, by which a director, accounting advisor, company auditor or executive officer of a financial instruments business operator (金融商品取引業者) engaged in securities-related business could keep a concurrent post as officer or employee of its parent bank, etc. (親銀行等) for one year from the date the 2006 Act came into effect.
