Act on Preventing Delay in Payment to Small and Medium-Sized Entrusted Business Operators in Relation to Manufacturing Consignment
製造委託等に係る中小受託事業者に対する代金の支払の遅延等の防止に関する法律

A business corporation (法人) that makes a manufacturing consignment, etc. (製造委託等) to an individual or to a smaller business, in one of the six cases Article 2, paragraph (8) lists by the size of each side — its capital or its number of regular employees — and the kind of work; the State is left out of the cases measured by employees, and the bodies set out in Article 14 of the Act on Prevention of Delay in Payment under Government Contracts, etc. are left out of all six.
次の各号のいずれかに該当する者
A business that receives a manufacturing consignment, etc. (製造委託等) from an entrusting business operator (委託事業者) and is smaller than it in one of the six ways Article 2, paragraph (9) lists: an individual, or a corporation (法人) whose capital is 300 million, 50 million or 10 million yen or less, or whose regular employees number 300 or 100 or fewer, matched to the size of the entrusting operator and the kind of work entrusted.
次の各号のいずれかに該当する者
Any of the five kinds of entrusting this Act covers: manufacturing consignment (製造委託), repair consignment (修理委託), information-based product creation consignment (情報成果物作成委託), service contract (役務提供委託) and specific transportation consignment (特定運送委託).

役務提供委託
A business entrusting to another business operator all or part of a service it provides to others as its trade, except where a business running a construction business (建設業) has another construction business carry out all or part of construction work (建設工事) it has undertaken.
事業者が業として行う提供の目的たる役務の提供の行為の全部又は一部を他の事業者に委託すること（建設業（建設業法（昭和二十四年法律第百号）第二条第二項に規定する建設業をいう。以下この項において同じ。）を営む者が業として請け負う建設工事（同条第一項に規定する建設工事をいう。）の全部又は一部を他の建設業を営む者に請け負わせることを除く。）
The price an entrusting business operator (委託事業者) must pay for what a small and medium-sized entrusted business operator (中小受託事業者) delivers under a manufacturing consignment, etc. (製造委託等) — or, under a service contract or a specific transportation consignment, for the services it provides.
委託事業者が製造委託等をした場合に中小受託事業者の給付（役務提供委託又は特定運送委託をした場合にあつては、役務の提供。以下同じ。）に対し支払うべき代金
A business entrusting to another business operator all or part of the creation of an information-based product (情報成果物) that it supplies or undertakes to create as its trade, or that it uses itself where it creates such products as part of its business.
事業者が業として行う提供若しくは業として請け負う作成の目的たる情報成果物の作成の行為の全部又は一部を他の事業者に委託すること及び事業者がその使用する情報成果物の作成を業として行う場合にその情報成果物の作成の行為の全部又は一部を他の事業者に委託すること
A business entrusting to another business operator all or part of the transport, to its customer (or someone the customer names), of goods it sells, or undertakes to make or repair, as its trade, or of goods in which an information-based product (情報成果物) it undertook to create is written, recorded or embodied.
事業者が業として行う販売、業として請け負う製造若しくは業として請け負う修理の目的物たる物品又は業として請け負う作成の目的たる情報成果物が記載され、記録され、若しくは化体された物品の当該販売、製造、修理又は作成における取引の相手方（当該相手方が指定する者を含む。）に対する運送の行為の全部又は一部を他の事業者に委託すること
A business entrusting to another business operator the manufacture (including processing) of goods it sells or undertakes to make as its trade, of their semi-finished products, parts, accessories or raw materials, of the dies, moulds or special tools used only to make them, or of parts or raw materials needed for repairs it does as its trade; or, where it makes as part of its business goods it uses or consumes itself, the manufacture of those goods, their components or those dies and tools.
事業者が業として行う販売若しくは業として請け負う製造（加工を含む。以下同じ。）の目的物たる物品若しくはその半製品、部品、附属品若しくは原材料若しくは専らこれらの製造に用いる金型、木型その他の物品の成形用の型若しくは工作物保持具その他の特殊な工具又は業として行う物品の修理に必要な部品若しくは原材料の製造を他の事業者に委託すること及び事業者がその使用し又は消費する物品の製造を業として行う場合にその物品若しくはその半製品、部品、附属品若しくは原材料又は専らこれらの製造に用いる当該型若しくは工具の製造を他の事業者に委託すること
A business entrusting to another business operator all or part of the repair of goods it has undertaken to repair as its trade, or part of the repair of goods it uses itself where it carries out that repair as part of its business.
事業者が業として請け負う物品の修理の行為の全部又は一部を他の事業者に委託すること及び事業者がその使用する物品の修理を業として行う場合にその修理の行為の一部を他の事業者に委託すること
Any of the things Article 2, paragraph (7) lists: a computer program (instructions to a computer combined so as to produce a result); a film, broadcast program or other work made up of images or sound; a work made up of letters, figures or symbols, alone, combined or with colours; or a similar thing a Cabinet Order (政令) specifies — what an information-based product creation consignment (情報成果物作成委託) asks another business to create.

In Article 10, paragraph (2) and Article 11, the entrusting business operator (委託事業者) that the Japan Fair Trade Commission (公正取引委員会) finds has acted against Article 5 — or, where that operator has ceased to exist by merger, or has split off or transferred the business concerned, the corporation or business operator that took that business over.
This Act as it stood before Article 8 of Act No. 146 of 1999 amended it.
This Act as amended by Article 1 of Act No. 41 of 2025.
In Article 4, a way of using a computer system or other information and communications technology, of a kind set by Japan Fair Trade Commission Rules (公正取引委員会規則), by which an entrusting business operator (委託事業者) may set out the terms of a manufacturing consignment, etc. (製造委託等) instead of in writing.
電子情報処理組織を使用する方法その他の情報通信の技術を利用する方法であつて公正取引委員会規則で定めるもの
A record made in electronic, magnetic or any other form people cannot perceive directly, for use in computer processing.
電子的方式、磁気的方式その他人の知覚によつては認識することができない方式で作られる記録であつて、電子計算機による情報処理の用に供されるもの
This Act as it stood before Article 1 of Act No. 41 of 2025 amended it and gave it its present title.
A construction business as defined in Article 2, paragraph (2) of the Construction Business Act (Act No. 100 of 1949) — the business of undertaking to complete construction work (建設工事), whether as main contractor, subcontractor or under any other name — used in Article 2, paragraph (4) to keep one construction business handing construction work to another out of a service contract (役務提供委託).

In Article 5, paragraph (2), item (i) only, the semi-finished products, parts, accessories or raw materials needed for the work a small and medium-sized entrusted business operator (中小受託事業者) does for the entrusting business operator (委託事業者), where the entrusting business operator makes it buy them from the entrusting business operator itself.
The date Act No. 51 of 2009, the amending Act these supplementary provisions (附則) belong to, comes into effect.
