  **第一項**  会社法第三百三十一条第二項ただし書（同法第三百三十五条第一項において準用する場合を含む。）、第三百三十二条第二項（同法第三百三十四条第一項において準用する場合を含む。）、第三百三十六条第二項及び第四百二条第五項ただし書の規定は、資金清算機関が株式会社である場合には、適用しない。

  The provisions of the proviso to Article 331, paragraph (2) (including as applied mutatis mutandis pursuant to Article 335, paragraph (1) of the Companies Act), Article 332, paragraph (2) (including as applied mutatis mutandis pursuant to Article 334, paragraph (1) of that Act), Article 336, paragraph (2), and the proviso to Article 402, paragraph (5) of the Companies Act do not apply to a clearing institution for interbank funds transfer that is a stock company.

  **第二項**  資金清算機関が株式会社である場合における会社法第四百五十八条の規定の適用については、同条中「三百万円」とあるのは、「三百万円を下回らない範囲内において政令で定める金額」とする。

  With regard to the application of Article 458 of the Companies Act to a clearing institution for interbank funds transfer that is a stock company, the term "three million yen" in that Article are deemed to be replaced with "an amount specified by Cabinet Order which may not be less than three million yen".
