They are never merged and never substituted for one another. --- ### 第六十三条 art-63 · https://japanlaw.org/ja/antimonopoly-act/art-63 **第一項** 第七条の二第一項又は第七条の九第一項若しくは第二項の規定により公正取引委員会が納付命令を行つた後、同一事件について、当該納付命令を受けた者に対し、罰金の刑に処する確定裁判があつたときは、公正取引委員会は、決定で、当該納付命令に係る課徴金の額を、その額から当該裁判において命じられた罰金額の二分の一に相当する金額を控除した額に変更しなければならない。ただし、当該納付命令に係る課徴金の額が当該罰金額の二分の一に相当する金額を超えないとき、又は当該変更後の額が百万円未満となるときは、この限りでない。 art-63/par-1 · https://japanlaw.org/ja/antimonopoly-act/art-63/par-1 After the Japan Fair Trade Commission has issued a payment order pursuant to the provisions of Article 7-2, paragraph (1), or Article 7-9, paragraph (1) or (2), if a final and binding decision on the same case imposes a fine on the person who received the relevant payment order, the Japan Fair Trade Commission must issue a decision to modify the amount of the surcharge in the payment order by reducing the amount by an amount equivalent to one-half of the amount of the fine imposed in the final and binding decision provided, however, that this does not apply if the amount of the surcharge in the payment order does not exceed the amount equivalent to one-half of the amount of the fine or if the amount after the modification is less than one million yen.
